Beacon Technology Group Partner Program Terms

1. Program Overview

The BTG Partner Program enables qualified technology solution providers, managed service providers (MSPs), managed security service providers (MSSPs), value-added resellers (VARs), and systems integrators to resell, co-sell, and refer BTG products and services including CYFAX (Cyber Threat Intelligence), PREVENT (Endpoint Security Assessment), ARETE (Predictive Analytics), and VORTEX (Threat Orchestration).

2. Partner Tiers & Pricing

Partners are assigned a tier based on mutual agreement, sales commitment, and technical capability. Each tier carries a partner discount on published MSRP pricing:

Partner pricing is confidential and may not be disclosed to end customers or competing partners. BTG reserves the right to adjust tier assignments and associated discounts with 30 days written notice.

3. Deal Registration

The BTG Deal Registration program provides sales protection for partners who identify and actively pursue qualified opportunities. The following rules apply:

• Registration: Partners must register opportunities through the ATLAS Partner Portal with complete client information, contact details, and qualification data.
• Approval: BTG will review and respond to deal registrations within two (2) business days. Registration does not guarantee approval.
• Protection Period: Approved deal registrations are valid for six (6) months from the date of approval.
• Renewal: Partners may request one (1) renewal period of ninety (90) days if the opportunity remains active. A renewal notification will be sent 30 days prior to expiration.
• Product-Specific: Deal registrations are specific to the product line registered (CYFAX, PREVENT, or Combo). Registration on one product does not preclude another partner from registering the same client for a different product.
• Incumbent Protection: If another partner holds an active registration for the same client and product, BTG will review both registrations and make a determination based on engagement level, sales stage, and relationship quality. Incumbent registrations are not automatically blocking.
• Expiration: Expired registrations release the client opportunity for registration by any partner. Partners are encouraged to maintain active engagement throughout the protection period.
• Won Deals: Upon confirmation of a sale (purchase order or written confirmation), the deal registration converts to an active contract record. Prior registrations for the same client and product are archived.

4. Quoting & Pricing

Partners may use the ATLAS Partner Calculator for planning and pricing simulations at any time. To submit a formal quote to a client through BTG, the partner must have an approved deal registration for that client and product.

• All pricing is based on published MSRP with partner tier discounts applied.
• Regional pricing multipliers apply based on the client's geographic location.
• Multi-year term discounts are available: 2-year (5% off) and 3-year (10% off).
• All pricing reflects annual licensing unless otherwise specified. Monthly billing requires approved credit terms.
• Quotes are valid for thirty (30) days from generation.
• Pricing is preliminary until a Purchase Order is received and an Order Number is issued by BTG.

5. Confidentiality

Each party agrees to maintain the confidentiality of the other party's proprietary information, including but not limited to:

• Partner pricing, discount structures, and margin information
• Product roadmaps, technical architecture, and threat intelligence methodologies
• Client lists, deal pipeline data, and sales materials
• Access credentials for the ATLAS Partner Portal and related systems

Confidentiality obligations survive termination of the partnership for a period of two (2) years.

6. Intellectual Property

All BTG products, platforms, documentation, sales materials, and presentations remain the exclusive property of Beacon Technology Group (GreyIP Technologies Inc., d/b/a Beacon Technology Group). Partners are granted a limited, non-exclusive, non-transferable license to use BTG trademarks, logos, and sales materials solely for the purpose of marketing and reselling BTG products in accordance with these Terms.

Partners may not modify, reverse engineer, decompile, or create derivative works from any BTG product or material without prior written consent.

7. Portal Access & Security

Access to the ATLAS Partner Portal is provided on a per-user basis with individual credentials. Partners agree to:

• Maintain the security of all login credentials
• Not share credentials between individuals or organizations
• Promptly notify BTG of any unauthorized access or security concerns
• Comply with password change requirements on first login and periodically thereafter

BTG reserves the right to deactivate portal access at any time for security purposes or violation of these Terms.

9. Term & Termination

• Term: These Terms are effective upon partner approval and continue for one (1) year, automatically renewing for successive one-year periods unless terminated by either party.
• Termination for Convenience: Either party may terminate with thirty (30) days written notice.
• Termination for Cause: Either party may terminate immediately upon material breach that remains uncured for fifteen (15) days after written notice.
• Effect of Termination: Upon termination, partner access to the ATLAS portal will be deactivated, active deal registrations will expire, and the partner must cease use of all BTG trademarks and materials. Existing customer contracts will be honored through their term.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS. BTG'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY PARTNER TO BTG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. General Provisions

• Governing Law: These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
• Dispute Resolution: Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association.
• Assignment: Neither party may assign these Terms without the other's prior written consent.
• Entire Agreement: These Terms, together with any executed Partner Agreement, constitute the entire agreement between the parties.
• Amendments: BTG may update these Terms with 30 days notice. Continued portal access after notice constitutes acceptance.
